Payment Terms

• Payment terms are typically 50% upfront and 50% upon completion

Project Timeline

• Project timelines are estimates based on current requirements
• Delays caused by client feedback or changes may affect timelines

Deliverables and Acceptance

5. Intellectual Property Rights

Our Rights

Client Rights

Upon full payment, clients receive:

• Ownership of custom-developed code specific to their project
• License to use delivered materials for their business
• Source code for custom applications (if specified in agreement)

6. Confidentiality

Both parties agree to maintain confidentiality of:

• Business information and strategies
• Technical specifications and designs
• Customer data and information
• Financial information
• Any information marked as confidential

This confidentiality obligation survives the termination of our business relationship.

7. Warranty and Support

Warranty

We warrant that:

• Services will be performed with professional care
• Deliverables will meet specifications in the agreement
• Code will be free from malicious content
• Services will comply with applicable laws

Support Services

• Free support for 30 days after project completion
• Bug fixes for issues discovered within warranty period
• Paid support plans available for ongoing maintenance
• Emergency support available at additional cost

8. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the total project value
• We are not liable for indirect, consequential, or punitive damages
• We are not liable for lost profits or business opportunities
• We are not liable for data loss or corruption

9. Termination

Termination by Client

• Client may terminate with 30 days written notice
• Client must pay for all work completed up to termination date
• Client forfeits any advance payments for incomplete work

Termination by Us

We may terminate services if:

• Client violates these terms
• Client fails to make payments as agreed
• Client provides false or misleading information
• Continuation becomes impractical or illegal

10. Dispute Resolution

Any disputes arising from these terms shall be resolved as follows:

• First attempt good faith negotiation
• Mediation by a neutral third party
• Arbitration under applicable laws
• Court jurisdiction in Jhapa, Nepal

11. Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters
• War or civil unrest
• Government actions
• Internet outages
• Third-party service failures

12. General Provisions

Entire Agreement

These terms constitute the entire agreement between us and you, superseding all prior agreements and communications.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Modification

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website.
